Description of Transaction The instant application is one of a number of applications (“Applications”) being filed to seek Commission consent to assign the licenses of the full power stations listed below, and the Private Microwave and Satellite Earth Station licenses used in connection with them, from subsidiaries of Sinclair Broadcast Group, Inc. (“Sinclair) (some of which are currently subsidiaries of Tribune Media Company (“Tribune”)) to subsidiaries of Standard Media Group LLC (“Standard Media”) immediately following consummation of the pending merger (the “Merger Transaction”) of Sinclair and Tribune. 1 Applications with respect to the Merger Transaction are currently pending. 2 As these transactions are contingent upon consummation of the Merger Transaction, the applicants request the Commission to process these Applications concurrently with the applications for the Merger Transaction. The proposed assignees are Delaware limited liability companies indirectly wholly owned by Standard Media Group LLC (“SMG”). The sole member of Standard Media Group LLC is Standard Media Holdings LLC (“SMH”). The Managing Member of SMH is Soohyung Kim. The officers of the proposed assignee, its sole member, SMG, and SMH are Soohyung Kim (Chairman) and Deborah McDermott (CEO and President). Both are US citizens. A chart showing the ownership structure of the proposed assignee is attached hereto. 2
