$FCC Form 312 Exhibit F Public Interest Statement The instant application seeks Commission consent to the assignment of licenses of earth stations E130096 and E880108 (the “Stations”) from Local TV Virginia License, LLC (“Local TV”) to Scripps Broadcasting Holdings LLC (“Scripps Broadcasting”). The application is associated with multiple Form 312 applications (the “Applications”) previously filed pursuant to an Asset Purchase Agreement between Nexstar Media Group, Inc. (“Nexstar”), Scripps Media, Inc. (“Scripps Media”) and Scripps Broadcasting, dated March 20, 2019. The Applications are part of a divestiture in connection with the pending transaction (the “Transaction”) in which Nexstar will acquire control of most of the FCC license subsidiaries of Tribune Media Company (“Tribune”). In connection the Transaction and proposed divestiture, Tribune has exercised its option to acquire Local TV from its current parent, Dreamcatcher Broadcasting, LLC (“Dreamcatcher”), and an application for transfer of control of the Stations is being filed concurrently. Immediately upon consummation of the transfer of control, and concurrently with consummation of the Nexstar/Tribune transaction, the Stations will be assigned from Local TV to Scripps Broadcasting. The Stations are used for the transmission of programming associated with television stations WTKR and WGNT. Corresponding FCC Form 315 and Form 314 applications for transfer of control and assignment of license of WTRK and WGNT have been filed with the Media Bureau (BTCCDT-20190410AAX and BALCDT-20190410AAK). Grant of the instant application will serve the public interest by allowing the continued use of the Stations for the gathering and provision of news and information and coverage of local community events.
