                 Public Interest Statement (Response to Question A21)

        By this application, Globecomm License Sub LLC (“Globecomm”) and MTN
License Corp. (“MTN”), a wholly-owned subsidiary of Global Eagle Entertainment, Inc.,
seek authority for the assignment of the C-band Earth station license, Call Sign E050308,
located in Fairmont, West Virginia, from Globecomm to MTN. This transaction will serve
the public interest, convenience and necessity as it will permit MTN to assume the important
operational role previously held by Globecomm as a subcontractor to Raytheon Company for
provision of satellite connectivity services for the Advanced Weather Interactive Processing
System (“AWIPS”). AWIPS is an important component of the National Weather Service’s
provision of critical weather data, forecasts and warnings to the U.S. public. Accordingly,
grant of the requested authority will facilitate the continued fulfillment of this important
public safety mission.

        MTN is a long-term FCC licensee, and the Commission has previously reviewed and
approved on multiple occasions its qualifications to operate FCC-licensed satellite Earth
station facilities. MTN’s parent company, Global Eagle, has built a significant business
providing high quality media content, technology and connectivity solutions to major
domestic and international air carriers, cruise lines, government agencies, and off-shore
platforms and other remote commercial facilities, and it is the parent company of three
entities that currently hold FCC licenses, MTN, as well as Emerging Markets
Communications, LLC and Row 44, Inc. Accordingly, the parties respectfully submit that the
transaction will substantially promote the public interest, convenience and necessity, and
should be approved as expeditiously as possible.
