FCC Form 312 Exhibit F DESCRIPTION OF PROPOSED TRANSACTION AND PUBLIC INTEREST STATEMENT The applicants seek Commission consent to assign a license (Call Sign E960474 or “Boatracs license”) to operate mobile earth stations in the 11.7-12.2 GHz (downlink) and 14.0- 14.5 GHz (uplink) frequency bands (“Ku band”) from Shaw Satellite Services Inc. (“Shaw”) to Omnitracs, LLC (“Omnitracs”). Pursuant to a License Assignment Agreement, dated May 31, 2017, (“Agreement”), Omnitracs will acquire the Boatracs license from Shaw, subject to prior Commission approval. Omnitracs previously held the Boatracs license, which was assigned to Shaw in 2015 in File Number SES-ASG-20150313-00147. Accordingly, the Commission has previously reviewed and approved Omnitracs’ qualifications to hold a Commission license. Mobile earth stations authorized under the Boatracs license currently are and will continue to be used to provide service to U.S. subscribers via U.S.- and non-U.S.-licensed satellites approved on the FCC’s Permitted Space Station List, including Anik F2, a non-U.S.- licensed satellite. Commission approval of the proposed license assignment will serve the public interest by ensuring continuity of service to existing and new U.S. subscribers who rely on an established, comprehensive solution to satisfy their maritime fleet management and tracking requirements. Following FCC approval and consummation of the proposed license assignment, a new U.S. point of contact will be made available 24 hours a day, 7 days a week, as follows: Exhibit F, Page 1 of 2
