All of the managers and officers of Omnitracs Midco, LLC are U.S. citizens. Robert F. Smith is Vista Equity Partners’ Chairman and CEO. (“VEPF IV” or “VEPF IV Entites”). Omnitracs Holdings, LLC, in turn, is 100% owned by VEPF IV. The general partner of VEPF IV is Vista Equity Partners Fund IV GP, LLC (“VEPF IV GP”). The senior managing member of VEPF IV GP is VEFIIGP, LLC (“VEFIIGP”), which controls 100% of its voting interests. Robert F. Smith is the managing member of VEFIIGP and controls 100% of its voting interests. Omnitracs Midco, LLC, Omnitracs, Holdings, LLC, Omnitracs Topco, LLC, VEPF IV GP, and VEFIIGP are Delaware Limited Liability companies. The VEPF IV Entites are all Delaware Limited Partnerships. The principal business of the Vista Equity Partners family of funds is private equity investments focused on software and technology-enabled businesses.
