                          Exhibit F: Public Interest Statement
        The proposed assignment will serve the public interest by placing the subject earth station
license ("Melbourne Earth Station") in the hands of the company that is positioned to make use
of the facilities authorized for the distribution of highly valued video programming. Currently,
Mag Rack Entertainment, Inc. (“Mag Rack”) is operating the Melbourne Earth Station primarily
for the principal benefit of Interactivation Health Networks (“IHN”), which until December 17,
2015 was a wholly-owned subsidiary of Mag Rack. On that date, IHN, which operates The
Wellness Network (the “Network”), was sold to TWN Holdings, Inc. (“TWN”). TWN plans to
continue operating the network to provide its existing programming service dedicated to
delivering life-enhancing wellness information to motivate patients to take necessary steps to
promote their own health and healing, aid hospitals in meeting accreditation requirements and
generally improve the overall quality of health care. TWN owns and operates the largest and
most comprehensive in-hospital health TV networks in the United States, available in more than
2,000 hospitals and on 300,000 screens. In furtherance of this enterprise and the goals it serves,
the parties have agreed to assign the license for the Melbourne Earth Station to IHN. This will
serve the public interest by consolidating the use of the transmission facility licensed under Call
Sign E050184 with the Network programming service that is the primary user of this facility.
This arrangement will help perpetuate the valuable program services that the Network provides
to hospital staff and patients throughout the United States.
