FCC Form 312, Schedule A Interactivation Health Network February 2016 Exhibit E: Ownership and Control Interactivation Health Networks, LLC, the proposed assignee of the license is a Delaware limited liability company that is 100% owned by TWN Holdings, Inc., (“TWN”) its sole member. TWN is a Delaware corporation that was formed in the fall of 2015 for the purpose of holding 100% of the outstanding equity of Interactivation Health Networks, LLC, which it purchased from Mag Rack Entertainment, Inc. on December 17, 2015. TWN is owned by Wafra Acquisition Fund 32, L.P., a Delaware limited partnership (approximately 99.5%); approximately 0.25% by Patrick Clifford and 0.25% by Hal Higby. Mr. Clifford and Mr. Higby are individuals residing in the United States who serve as consultants to TWN and are expected eventually to serve on its board of directors. Wafra Acquisition Fund 32, L.P. is owned 99.9% by its sole limited partner, Wafra Private Equity Fund V., L.P. and 0.1% its general partner Wafra V GP, L.P. All of these entities are controlled by Wafra Investment Advisory Group, Inc., a Delaware corporation (“WIAG”). WIAG is indirectly 100% owned by the Public Institution for Social Security of Kuwait. The directors of TWN are: Eric Norfleet, Andrew Thompson, and Alexander Blair, each of whom is an employee of WIAG residing in the United States and a U.S. citizen.
