 DESCRIPTION OF PROPOSED TRANSACTION AND PUBLIC INTEREST STATEMENT



       The applicants seek Commission consent to assign a license (Call Sign E960474 or

“Boatracs license”) to operate mobile earth stations in the 11.7-12.2 GHz (downlink) and 14.0-

14.5 GHz (uplink) frequency bands (“Ku band”) from Omnitracs, LLC (“Omnitracs”) to Shaw

Satellite Services Inc. (“Shaw”). Pursuant to a License Assignment Agreement, dated March 12,

2014 (“Agreement”), Shaw will acquire the Boatracs license from Omnitracs, subject to prior

Commission approval.

       Shaw Satellite Services Inc. holds a comparable Canadian license to operate mobile earth

stations in the Ku band for the provision of satellite-based mobile tracking services throughout

Canada. Thus, Shaw is an experienced operator and well-qualified to provide similar Ku-band

mobile tracking services to U.S. subscribers.

       In September 2014, Omnitracs notified Shaw that it planned to discontinue its satellite

tracking service in the United States in 2015. In view of Shaw’s provision of similar tracking

services in Canada, Omnitracs further stated that it would assist Shaw in transitioning U.S.

subscribers and equipment to Shaw’s network. Consequently, the parties entered into the

Agreement to help implement the transition. Mobile earth stations authorized under the Boatracs

license currently are and will continue to be used to provide service to U.S. subscribers via U.S.-

licensed and non-U.S.-licensed satellites specified on the FCC’s Permitted Space Station List,

including the Anik F2 and Galaxy 25 (formerly Telstar 5) satellites. Commission approval of the

proposed license assignment will serve the public interest by ensuring continuity of service to

existing and new U.S. subscribers who rely on an established, comprehensive solution to satisfy

their maritime fleet management and tracking requirements.
