EXHIBIT F This application seeks FCC consent to the assignment of license of the earth station licenses identified at Item A8 of FCC Form 312 Schedule A (the “Earth Stations”), from Fox Television Stations, Inc. (the “Assignor”) to KTVU, LLC (the “Assignee”). The Earth Stations are used in connection with the broadcast operations of the commonly owned television station WFXT(TV), Boston, Massachusetts, for news gathering and coverage of events of interest to the station’s local community. An application for the assignment of the license of WFXT(TV), Boston, Massachusetts, has been concurrently filed with the FCC’s Media Bureau. The Assignee will continue to use the Earth Stations in the same manner and for the same purpose as before the assignment of the license. Agreements and Summary of Transaction Pursuant to an Exchange Agreement, dated as of June 24, 2014 (the “Agreement”), by and among Fox Television Stations, Inc. (“FTS”), KTVU, LLC (“Cox”), and Cox Media Group, LLC, the applicants have agreed to exchange ownership of certain television stations and related assets. Cox is the licensee of KTVU(TV), Oakland, and KICU-TV, San Jose, both California. FTS is the licensee of WFXT(TV), Boston, Massachusetts, and WHBQ- TV, Memphis, Tennessee. Pursuant to the Agreement, Cox will acquire ownership of WFXT(TV) and WHBQ-TV from FTS, and FTS will acquire ownership of KTVU(TV) and KICU-TV from Cox.
