The principal place of business for Oregon TV, Oregon TV LLC, Oregon TV Holdings, Inc., and USA Television Holdings, LLC is Two Buckhead Plaza, 3050 Peachtree Rd, NW, Suite 550, Atlanta, GA 30305. MSouth Equity Partners II, L.P., a Delaware limited partnership, is the majority member of USA Television Holdings, LLC and holds approximately 92% of the membership interests. The general partner of MSouth Equity Partners II, L.P. is MSouth Equity Partners II GP, LLC, a Delaware limited liability company. The principal business of MSouth Equity Partners II, L.P. and MSouth Equity Partners II GP, LLC is investment. The principal place of business for MSouth Equity Partners II, L.P. and MSouth Equity Partners II GP, LLC is Two Buckhead Plaza, 3050 Peachtree Rd, NW, Suite 550, Atlanta, GA 30305. Heartland Media, LLC, a Delaware limited liability company, holds approximately 8% of the membership interests in USA Television Holdings, LLC. Its principal business is investment. Robert S. Prather, Jr., a U.S. citizen, holds 51% of the voting interest in Heartland Media, LLC. The principal place of business for Heartland Media, LLC and Mr. Prather is 1843 West Wesley Road, Atlanta, GA 30327.
