FCC Form 312 Application for Assignment Exhibit F Description of Transaction and Public Interest Statement CNN America, Inc. (“Assignee”) hereby submits the attached application seeking FCC consent to the pro forma assignment of the referenced authorization (the “License”) from Courtroom Television Network LLC (“Assignor”). The Assignee is an indirect, wholly owned subsidiary of Turner Broadcasting System, Inc. (“Turner”), which itself is an indirect, wholly owned subsidiary of Time Warner Inc. Turner produces news and entertainment programming through such brands as CNN, TNT, TBS, truTV, Cartoon Network, HLN, Boomerang and others. The License is used in support of the production and distribution of programming related to Turner’s truTV brand. The Assignor is also an indirect, wholly owned subsidiary of Turner. In the future, the License will continue to be used in the support of the production and distribution of programming, but for programming related to Turner’s CNN brand. Because the application requests assignment of the License from one wholly owned indirect subsidiary of Turner to another, the assignment is considered pro forma under the Commission’s rules. Under these circumstances, grant of the application will serve the public interest, convenience and necessity.
