Exhibits A, E and F: Response to Questions 42b, 43, A20, A21, Description of Transaction and Public Interest Statement STM Networks, Inc. (“STM Networks”), a wholly-owned subsidiary of STM Group, Inc. (collectively, “STM”), is the licensee of Domestic Fixed Satellite Service VSAT Network license E070026 (the “Station”). STM Networks seeks Commission approval for the pro forma assignment of the Station license from STM Networks, Inc. to STM Networks, LLC. The pro forma assignment is necessary because STM Networks, Inc., a California Corporation, is converting into STM Networks, LLC, a California Limited Liability Company, and then to STM Networks, LLC, a Delaware Limited Liability Company. STM Networks, Inc. is only converting form and will be considered the same entity after the conversion with the same taxpayer identification number. The individuals who have equity and voting control of STM are not changing in any respect at this time, and STM’s organizational structure also is not changing. Diagrams depicting STM’s structure, both before and after the pro forma assignment, are attached. The pro forma assignment of the Station license is in the public interest because it will not impact operations and will be transparent to the public. 4836-9531-9572.2.
