Three Eagles of Lincoln, Inc. E920419 Assignment Application Exhibit E Ownership and Nature of Application The instant application proposes a pro forma transfer control of Earth Station E920419 from Three Eagles of Columbus, Inc. (“Columbus”), the licensee and assignor, to Three Eagles of Lincoln, Inc. (“Lincoln”), the assignee. Columbus and Lincoln are wholly-owned subsidiaries of Three Eagles Communications, Inc. (TECI), which is a wholly-owned subsidiary of Three Eagles Investors, LLC. The officers of both Columbus and Lincoln are Rolland C. Johnson, 4687 Triple Eagle Trail, Larkspur, Colorado 80110, CEO and a director; Gary M. Buchanan, 5864 SW 112th Street, Denton, Nebraska 68339, President and a director; and Paula A. Johnson, Mr. Johnson’s wife, who is Treasurer and Secretary. All are U.S. citizens. The officers of Three Eagles Communications, Inc., which owns all of the stock of Three Eagles of Columbus, Inc., are Rolland C. Johnson, the CEO and a director, and Gary M. Buchanan, the COO. In addition to Mr. Johnson, the other directors of the corporation are Walker Simmons, 1526 Providence Drive, Charlotte, North Carolina 28211; L. Watts Hamrick, 217 Huntley Place, Charlotte, North Carolina 28207; III and Loyal Wilson, 615 Falls Road, Charlotte, North Carolina 28207. Messrs. Simmons, Hamrick, and Wilson are U.S. citizens. The members with a 10% or greater interest in Three Eagles Investors, LLC are Wachovia Capital Partners 2002, LLC, 150 North College Street, Suite 2400, Charlotte, North Carolina 28202, a Florida limited liability company, (53.5%); Primus Capital Fund V Limited Partnership, 5900 Landerbrook Drive, Suite 200, Cleveland, Ohio 4414, a Delaware limited partnership, (29.9%); and Rolland C. Johnson (10.5%). The remaining interests in Three Eagles Investors, LLC are held by individuals or entities each of which has less than a 5% interest. Rolland C. Johnson is the CEO and a director of Three Eagles Investors, LLC. Gary M. Buchanan is the COO of the LLC. The other directors of the LLC are Walker Simmons, L. Watts Hamrick, III, and Loyal Wilson, who are also directors of Three Eagles Communications, Inc. {00388099-3 }
