(“Fusion”) to Stratus Broadcast Solutions LLC, a Delaware limited liability company, which is wholly-owned by Stratus Media Holdings LLC (“Stratus Media”). Stratus Media is a State of Delaware formed, manager controlled limited liability company. The owners and officers of Stratus Media, all of which are identified below, are United States Citizens: Wayne Mack is the sole manager of, and also holds a 17% membership interest in, Stratus Media. Marc Jaromin is the President and Chief Executive Officer of, and holds a 12.5% limited liability membership interest in, Stratus Media. Jeffrey Lyle is the Chief Technology Officer of, and holds a 28.5% limited liability membership interest in, Stratus Media. Kirk Warshaw is the Chief Financial Officer of, and holds a 12.5% limited liability interest in, Stratus Media. Michelle Szalanski holds a 17% limited liability membership interest in Stratus Media. Sev Hyrwrak holds a 12.5% limited liability interest in Stratus Media.
