Exhibit E Description of Transaction By this filing, the licensee, TrustComm, Inc. (“TrustComm”), seeks consent for the pro forma assignment of the licenses for earth stations E010295 and E000361 to Bankton Financial Corporation LLC (“Bankton-Texas”), a Texas limited liability corporation that is wholly owned by TrustComm’s current majority owner, Robert Kubbernus. As previously reported to the Commission, Bankton-Texas owns 66.5% of TrustComm. Bankton-Texas, in turn, is 100% owned by Bankton Financial Corporation, a Canadian corporation (“Bankton-Canada”). All the Bankton-Canada shares in Bankton-Texas are held by Mr. Kubbernus (see ownership chart below). Hence, Mr. Kubbernus is the ultimate 100% owner of Bankton-Texas. The proposed transaction is pro forma because Mr. Kubbernus holds voting control of both the assignor (TrustComm) and the assignee (Bankton-Texas).
