Washington, DC 20554 Re: Applications of DBSD North America, Inc., Debtor-in-Possession; New DSD Satellite Services G.P., Debtor-in-Possession; Pendrell Corporation, Transferor; and TerreStar License Inc., Debtor-in-Possession; Assignor, and DISH Network Corporation, Transferee; and Gamma Acquisition L.L.C.; Assignee to Assign Licenses or Transfer Control of Licensees, IB Docket No. 11-150 Dear Ms. Dortch: Pursuant to Section 25.119(f) of the Commission’s rules, 47 C.F.R. § 25.119(f), this letter serves to notify the Commission that on March 9, 2012, consistent with the relevant portion of the Order of the International Bureau in the above-captioned docket,1 DISH Network Corporation (“DISH”) consummated its transaction to acquire control over New DBSD Satellite Services G.P., Debtor-in-Possession (“DBSD”). On the same day, Gamma Acquisition L.L.C. (“Gamma”), a wholly owned subsidiary of DISH, consummated its transaction to acquire substantially all of the assets of TerreStar Networks Inc., Debtor-in-Possession, and its subsidiary TerreStar Licensee Inc., Debtor-in-Possession (collectively “TerreStar”). The TerreStar assets acquired by Gamma include the FCC authorizations held by TerreStar. Concurrently with this notification, DISH and Gamma are filing the required notices of consummation with the International Bureau’s IBFS filing system with respect to the specific 1 DBSD North America, Inc., Debtor-in-Possession; New DSD Satellite Services G.P., Debtor-in-Possession; Pendrell Corporation, Transferor; and TerreStar License Inc., Debtor-in- Possession; Assignor, and DISH Network Corporation, Transferee; and Gamma Acquisition L.L.C.; Assignee, IB Docket No. 11-150, Order, DA 12-332 (rel. March 2, 2012).

The following authorizations, listed in Appendix A of the Order, were transferred or assigned: (a) Transferred from DBSD to DISH: S2651, E080035, E080070, E070291, E070290, and E070272; (b) Assigned from TerreStar to Gamma: S2633, E090061, E060430, E070098, ITC-214-20100513-00194, and ITC-214-20100513-00194.
