FCC Form 312 Exhibit F April 2011 Page 1 of 1 Description of the Transaction and Public Interest Statement WFRV and WJMN Television Station, Inc. ("WWTSI") holds the license for transmit/receive earth station E040132. WWTSI and Nexstar Broadcasting, Inc. ("Nexstar") have entered into a transaction in which Nexstar wil acquire the assets of WWTSI for $20 milion, subject to FCC approval and other customary closing conditions. WWTSI's transmit/receive earth station license is used in connection with the broadcast television operations of full power stations WFRV-TV, Green Bay, WI (Fac. Id. No. 9635) and WJMN- TV, Escanaba, MI (Fac. Id. No. 9630), both of which are licensed to WWTSI. WWTSI and Nexstar fied an FCC Form 314 assignment application on April 7,2011 seeking FCC consent to the assignment of WWTSI's broadcast television licenses to Nexstar. See BALCT- 20110407 ACF. Nexstar currently owns, operates, programs or provides sales and other services to 59 television stations and related digital signals in 34 markets in 14 states. The proposed transaction wil enable Nexstar to apply its operating management experience to WWTSI's broadcast television stations, and thus wil serve the public interest, convenience and necessity. Finally, the proposed transaction wil not disrupt the operations associated with WWTSI's transmit/receive earth station.
