Attachment A to Application for Pro Forma Assignment of Fixed Earth Station License I. Description of the Pro Forma Assignment (Item 43) Pursuant to Part 25 of the Commission’s Rules, General Dynamics Satellite Communications Services, Inc. (“GD SCS, Inc.” or “the Company”), a Delaware corporation, seeks consent to the pro forma assignment of earth station license no. E980049 (the “License”). Pursuant to Section 266 of the Delaware General Corporation Law and Section 18-214 of the Delaware Limited Liability Company Act, GD SCS, Inc. intends to convert into a limited liability company, which will be known as General Dynamics Satellite Communications Services, LLC (“GD SCS, LLC”). GD SCS, LLC will continue to hold the License. The proposed transaction is a non-substantial (pro forma) assignment. The Company’s current sole shareholder, General Dynamics C4 Systems, Inc. , will become the sole member of GD SCS, LLC, with the ultimate parent remaining General Dynamics Corporation.1 II. Identity of Applicant (Item 1) This Application is being filed under the FRN 0017638396 for GD SCS, Inc. Pursuant to Delaware law, upon completion of the conversion process, GD SCS, Inc. will become GD SCS, LLC. At this point, FRN 0017638396 will be canceled. FRN 0020769485 will remain the FRN for GD SCS, LLC. Apart from the FRN number, all other information for GD SCS, LLC, including the address, telephone and fax numbers and contact person, will remain identical to that for GD SCS, Inc. 1 The Commission last approved the ultimate ownership and control of the License on April 21, 2008, when the License was renewed. There have been no material changes in the ultimate ownership and control of the License since that date.
