The instant pro forma assignment application seeks the Commission’s consent to the
assignment of an earth station license that occurred in connection with an intra-company
reorganization. In that reorganization, Scripps Howard Broadcasting Company (“SHBC”), a
100% owned subsidiary of The E.W. Scripps Company (“Scripps”), was merged into Scripps
Howard Publishing, Inc. (“SHPI”), another 100% owned subsidiary of Scripps. The name of
SHPI was then changed to Scripps Media, Inc. (“SMI”). A diagram showing the corporate
structure of the licensees before and after the transaction is provided below.

There was no significant change in attributable interests as the result of this reorganization, and
the Commission gave its consent to SHBC’s pro forma applications for assignment of the SHBC
broadcast, wireless and satellite authorizations in advance of the reorganization. See, e.g., File
Numbers SES-ASG-20091214-01578 and SES-ASG-20091210-01571. Unfortunately, the
subjects of the instant applications, transmit-receive earth stations E000598 and E010092 and
receive-only earth station E960375, were inadvertently omitted from these timely-filed
applications.

As noted in the timely-filed applications, the officers and directors of SHBC became officers and
directors of SMI. The only change in attributable interests is that the following officers and
directors of SMI gained an attributable interest in the SHBC licenses. Each of the following
persons is an American citizen, with an address at 312 Walnut Street, 28th Floor, Cincinnati, OH
45202:

Jim York, Peter Copeland, Kim Nussbaum, Frank Hughes, Charles
Horton, Patrick Birmingham, Chris Doyle, Shanna Cannon, Bob Brunjes,
George Cogswell, Darrell Coleman, Mike Hales, Mary Minser,
Frank Wolfe, Rusty Coats, and Bruce Hartmann are officers of SMI;


Robin A. Davis is both an officer and a director of SMI.
