NEP, LLC (Assignor) Critical Alert Systems, LLC (Assignee) Call Sign E980527 Form 312 Assignment Application Exhibit F 5/14/2010 PUBLIC INTEREST STATEMENT By this application, applicants request Commission consent for the assignment of the satellite uplink radio station license issued to and held by NEP, LLC (Call Sign E980527) to a new entity Critical Alert Systems, LLC, that ultimately is owned and controlled by Wedbush Capital GP LLC, a Delaware limited liability company. Wedbush Capital GP LLC is affiliated with Wedbush Capital Partners, a private equity investment fund based in Los Angeles, and will control and manage the infusion of new investment resources into the network operations and services currently provided by NEP, LLC. The proposed transaction will serve the public interest by affording the management of NEP, LLC with access to substantial additional financial and management resources that will enable it to develop new service offerings for the public and to enhance its existing offerings to its customers. Accordingly, the transaction should be approved.
