NEP, LLC (Assignor) Critical Alert Systems, LLC (Assignee) Call Sign E980527 Form 312 Assignment Application Exhibit E 5/14/2010 OWNERSHIP INTERESTS Assignee Critical Alert Systems, LLC is a limited liability company whose membership shares are 59.40% owned directly by Wedbush Capital Partners, L.P., a Delaware limited partnership, and by various individual investors, only one of whom – Bruce R. Lederman – owns 10.00% or more of filer’s membership shares. No owner of Wedbush Capital Partners, L.P. holds as much as a 10.00% attributable ownership interest in Assignee. Wedbush Capital GP LLC, a Delaware limited liability company, is the sole general partner of Wedbush Capital Partners, L.P., and controls Assignee by virtue of having the exclusive right to appoint three of the five members of the governing board of Assignee. There are four members of Wedbush Capital GP LLC. They include Peter V. Shoemaker, Eric D. Wedbush, Geoffrey C. Bland, and Wedbush, Inc., a California corporation, each of which owns 25.00% of Wedbush Capital GP LLC. The management and control of Wedbush Capital GP LLC, and thus ultimately of Assignee, is vested in a three-member Management Committee consisting of Messrs. Shoemaker, Wedbush and Bland. Wedbush, Inc., although an owner of Wedbush Capital GP LLC, does not control or manage that entity or Assignee. The three members of the governing board of Assignee appointed by the Wedbush interests are Messrs. Shoemaker and Bland, together with another Wedbush business associate Kevin Tom. The remaining two members of the governing board of Assignee are Bruce D. Lederman and a business associate Edward B. Meyercord. Information concerning the foregoing persons and entities is fully set forth in the Form 602 ownership report filed by Assignee on May 13, 2010 in WTB File No. 0004246951 and attached hereinafter.
