The attached FCC Form 732 reflects this approval, and directs that the proposed assignment be consummated within 60 days, or by May 11, 2010. As further described below, the parties will not be able to consummate the assignment by that date, and respectfully request an extension. The E050379 assignment is part of a larger transaction involving the assignment of certain broadcast licenses held by Criswell, which were approved on March 11, 2010 by the Commission‘s Media Bureau in BAPED—20100216ADL, pursuant to which the parties have 90 days, or until June 11, 2010, for consummation. A specific closing date has not yet been set for this transaction because the parties are awaiting a determination of 501(c)(3) status by the Internal Revenue Service, which is a closing condition of the agreement between the parties. At this time, the IRS determination is not expected to issue in time for a June 11, 2010 closing, and as a result, the parties plan to seek an automatic 90—day extension of the consummation deadline under the Media Bureau‘s procedures. For ease of administration, the parties therefore respectfully request an extension of the E050379 consummation period to September 9, 2010 to coincide with the anticipated automatic 90—day extension for the Media Bureau authorizations.
