IBFS File No. SES—ASG—20090909—01137 Request for Extension of Time to Consummate Dear Sir or Madam: ION Media of Tampa, Inc. hereby requests a sixty—day extension of time to consummate the proforma transaction ("Transaction") set forth in IBFS File No. SES—ASG—20090909—01137 ("Application"). As stated in the Application, the Transaction is part of a larger reorganization of certain subsidiaries of ION Media Networks, Inc. ("ION‘) pursuant to the chapter 11 joint plan of reorganization ("Plan‘") filed with the United States Bankruptcy Court for the Southern District of New York ("Bankruptcy Court"). The Application seeks approval from the Federal Communications Commission ("FCC") for (i) the involuntary proforma assignment of earth station E920199 held by ION Media Tampa, Inc., Debtor—in—Possession to ION Media Tampa, Inc. as reorganized pursuant to the Plan; and (ii) the indirect involuntary pro forma transfer of control of ION Media of Tampa, Inc. to the ION Media Networks Liquidating Trust ("Liquidating Trust"). The Plan contemplates that upon confirmation of the Plan and receipt of the requisite FCC approvals, control of ION will be vested temporarily in the Liquidating Trust (subject to the retained jurisdiction of the Bankruptcy Court). The Bankruptcy Court approved the Plan, but has not yet issued a written Confirmation Order. Because the parties cannot consummate the Transaction before the Confirmation Order is released and has become effective, an extension of time to consummate the Transaction is necessary. Accordingly, ION Media of Tampa, Inc. respectfully requests a 60—day extension of time until January 29, 2010 to consummate the Transaction.
