Form 312 Exhibit E Question A.20 Page 1 of 4 EXHIBIT E Ownership and Control of ABC Radio Networks Assets, LLC The Walt Disney Company (“TWDC”) completed an internal reorganization (“Reorganization”) pursuant to which control of certain of its subsidiaries (“TWDC Licensees”) holding licenses issued by the Federal Communications Commission (“FCC”) were transferred to other existing wholly-owned subsidiaries of TWDC (“Pro Forma Transfer of Control”). TWDC also caused certain of the TWDC Licensees to assign such licenses to newly created wholly-owned subsidiaries of TWDC (“Pro Forma Assignment”). The instant application (“Application”) is one of several applications filed in connection with the Reorganization. The TWDC Licensees presently are controlled through various directly and indirectly wholly-owned subsidiaries of TWDC. TWDC is a publicly traded company. This Application notifies the FCC regarding the pro forma assignment of a receive-only earth station license held by ABC Radio Network, Inc. (“Previous Licensee”) to ABC Radio Networks Assets, LLC (“New Licensee”). As depicted in Attachments 1 and 2 to this Application, Previous Licensee and New Licensee both are indirect, wholly-owned subsidiaries of TWDC. Accordingly, because TWDC is the indirect 100% controlling party both before and after the assignment, this transaction constitutes a pro forma assignment. Further information about the ownership of New Licensee is set forth below. I.
