Washington, DC 20554 Re: Radio License Holding I, LLC E861076 IBFS File No. SES—ASG—20060301—00335 Request for Extension of Time to Consummate Dear Ms. Dortch: Radio License Holding I, LLC ("Radio License") hereby requests an additional sixty—day extension oftime to consummate the assignment ("Assigament‘) set forth in IBFS File No. SES— ASG—20060301—00335 (‘Application"). As stated in the Application, the Assignment involves a two—step transaction—a proforma assignment(‘Step One") followed by a substantial transfer of control ("Step Two") in connection with a proposed merger (‘Merger Transaction‘) of certain broadcast radio subsidiaries ofThe Walt Disney Company ("TWDC") and Citadel Broadcasting Corporation. The Federal Communications Commission ("FCC) consented to the Assignment on April 18, 2006. On October 18, 2006, ABC Detroit, Radio License‘s predecessor, notified the FCC that Step One ofthe Assignment was completed on September 28, 2006 and that Radio License is now the licensee of ES61076." Step Two of the Assignment was not completed at that ime ‘because other applications ("Other Applications") related to the Merger Transactions were pending before the FCC, see, eg., BTC—20060228ABG. On March 22, 2007, the FCC‘s Media Bureau granted its consent to the Other Applications.. See Inthe Matter of Citadel Broadeasting Company, Memorandum Opinion and Order and Notice ofApparent Liability, BCC 07—41 (rel Apr.2, 2007). ‘ The FCC‘s IBFS database indiates that the Assignment was consummated on September 28, 200. On February 7, 2007, because the Other Applications were stll pending before the FCC, Radio License fileda further request to extend the time to consummate the Assignment for an additional sixty days, until Aprl 13, 2007. This request,a copy ofwhich is attached hereto, remains pending before the FCC. Because the parties have not yet consummated the Merger Transactions and, out of an abundance of eaution, an extension oftime to consummate the Step "Two ofthe Assignment is necessary. Accordingly, Radio License respectfally requests a further sixty—day extension oftime to consummate Step Two of the Assignment. Please direct any questions regarding this matter tothe undersigned.
