As stated in the Application, the Assignment involves a two—step transaction—a proforma assignment ("Step One") followed by a substantial transfer of control ("Step Two") in connection with a proposed merger of certain broadcast radio subsidiaries ofThe Walt Disney Company ("TWDC") and Citade! Broadcasting Corporation ("Merger Transaction‘). The Federal Communications Commission ("FCC") consented to the Assignment on April 18, 2006. The FCC granted an extension, until December 14, 2006, to consummate the Assignment because other applications ("Other Applications") related to the Merger Transactions were pending before the FCC, see, eg., BTC—20060228ABG On October18, 2006, ABC Detroit, Radio License‘s predecessor, notified the FCC that Step One ofthe Assignment wes completed on September 28, 2006 and that Radio License is now the licensee ofES61076.‘ Because the Other Applications still remain pending, an extension of time to consummate the Step Two ofthe Assignment is necessary. Accordingly, ‘‘The FCC‘s IBFS database indicates thtthe Assignment was consummated on September 28, 2006. However, only Step One of he Assignment has been consummated: Pobar 8.
