Exhibit A Description of Transaction, Statement of Public Interest and Services Offered This attachment is submitted in response to FCC Form 312, Item 43. Response to Item 43 Pursuant to Section 25.119(c) of the Commission’s rules, 47 C.F.R. § 25.119(c), Globalstar USA, Inc. (“GUSA Inc.”) applies to assign its earth station licenses to Globalstar USA, LLC (“GUSA LLC”). The earth station licenses are used in conjunction with the provision of voice and data services in the non- geostationary mobile satellite above 1 GHz (“Big LEO”) service. GUSA Inc. and GUSA LLC each is a wholly-owned subsidiary of Vodafone Americas Asia Inc. (“VAAI”). Because the earth station licenses will remain under the control of VAAI (and VAAI’s U.S. parent Vodafone US Partners) both before and after the consummation of the proposed transaction, the requested assignment is clearly pro forma in nature. See 47 C.F.R. § 63.24(a)(5). As a result, the Commission may grant the proposed assignment without public notice. 47 C.F.R. § 25.151(c)(5). The applicants do not request any change in the operational parameters of the satellite earth stations or the satellites to be accessed.
