Dear Mr. Caton:


        On March 2, 2001, Motient Services Inc. ("MSI") and TMI Communications and
Company, Limited Partnership ("TMI") filed the above—captioned application requesting
authority to assign their licenses relating to their mobile satellite service ("MSS") operations in
the L—band to Mobile Satellite Ventures Subsidiary LLC ("MSV Sub"). MSI and TMI also
requested authority to modify these licenses to allow MSV Sub to operate with both MSAT—1,
licensed by Canada, and AMSC—1, licensed by the United States. In November 2001, the
Commission approved these aspects of the above—captioned application.‘

       In the application, the applicants also requested authority for MSV Sub to launch and
operate a next—generation MSS system in the L—band. This application is still pending.

        MSV Sub hereby informs the Commission that on January 10, 2002, Motient Corporation
("‘Motient") and three wholly owned subsidiaries of Motient filed voluntary petitions for
reorganization under Chapter 11 of the federal bankruptcy code. Motient is an indirect, minority
shareholder of MSV Sub. Motient is continuing to manage its business as debtor in possession,
but a trustee has been appointed to oversee the reorganization proceedings, as mandated by the
bankruptcy code. The trustee is the Office of the United States Trustee, 115 South Union Street,

   Plaza Level, Suite 210, Alexandria, VA 22314. Motient filed its petition for reorganization in
   the United States Bankruptcy Court for the Eastern District of Virginia. As a result of the
   reorganization, the ownership of Motient is likely to change substantially. Motient‘s ownership
   interest in MSV Sub, MSV LP, and MSV GP Inc., has not changed and is not likely to change as
   a result of the bankruptcy." Motient has not changed the identity of its directors on the board of
   MSV GP Inc. MSV Sub will update the above—captioned application to inform the Commission
   of the new ownership of Motient when this information becomes final.

            subsidiary of Mobile Satellite Ventures L.P. ("MSV LP"), a Delaware limited partnership. Assignment
            Authorization €[ 5. Motient holds a 48.1% equity interest in MSV LP. Id. MSV LP is managed and
            controlled by a Delaware corporate general partner, Mobile Satellite Ventures GP Inc. ("MSV GP Inc.").
            Id. at 4 6. Motient holds a 33.3% voting interest in MSV GP Inc. Id. In addition, Motient has the right to
            elect three of the twelve members of the board of directors of MSV GP Inc.
