1.        INTRODUCTION


        BRH Holdings GP, Ltd. ("BRH" or "Transferor") and EchoStar Corporation ("EchoStar"
or "Transferee," and together with BRH, the "Applicants") have filed a series of applications
(collectively, the "Application") pursuant to section 310 of the Communications Act of 1934, as
amended ("Communications Act") and the Commission‘s rules,‘ seeking approval to transfer
control of Hughes Communications, Inc. ("Hughes Communications") and its subsidiaries,
Hughes Network Systems, LLC ("HNS") and HNS License Sub, LLC ("HNS Sub"),
Commission licensees, to EchoStar."

IL.       THE PARTIES

          A.           The Transferor — BRH Holdings GP, Ltd.

          Leon Black, Mare Rowan, and Joshua Harris are the sole stockholders and directors of
BRH Holdings GP, Ltd.® BRH Holdings Group, Ltd, a U.K. company, indirectly controls

Hughes Communications." Hughes Communications is a company organized under the laws of
Delaware. Hughes Communications operates primarily through its wholly owned subsidiary,
Hughes Network Systems, LLC ("HNS"), a Delaware limited liability company. HNS operates
several businesses including high—speed broadband Internet access, satellite equipment
manufacturing and VSAT and other enterprise services. HNS is the direct parent of HNS License
Sub, LLC, a Delaware limited liability company which holds earth stations licenses. HNS also
owns and operates the SPACEWAY 3 space station, currently a U.S. licensed satellite with a
pending application to transfer to operations through its indirect subsidiary Hughes Network
Systems, Ltd. (HNS, Ltd.), a U.K. company which would operate the satellite under supervision
of the United Kingdom." HNS, Ltd. is also currently building Jupiter 1, which will operate under
U.K. supervision and for which the FCC has granted a request for U.S. market access."

         B.       The Transferee— EchoStar

         EchoStar, a publicly traded company organized under the laws of Nevada, operates both
a satellite service business and a digital set—top box business. Currently, EchoStar owns and
operates six satellites and leases capacity on five additional satellites.‘ EchoStar has also been
granted licenses for five 17/24 GHz Broadcasting Satellite Service satellites and for a Direct
Broadcast Satellite (DBS) service satellite to operate at 86.5° W.L. EchoStar licenses are held
through wholly owned subsidiaries. EchoStar recently filed applications proposing pro forma
ownership changes in its subsidiary licensing companies.

         EchoStar designs, develops and distributes digital set—top boxes. EchoStar provides
digital broadcast operations, primarily to an affiliated company, DISH Network Corporation
(DISH). EchoStar provides satellite capacity and engineering services to DISH for the DISH
DBS service and is DISH‘s sole supplier of digital set—top boxes. Charles Ergen, the Chairman
of EchoStar, controls EchoStar through stockholdings which give him a 92.7% voting interest
and a 56.4 % of equity interest."

IIL.     THE TRANSACTION

         EchoStar proposes to acquire control of Hughes Communications and its subsidiaries
through purchasing all outstanding shares in Hughes Communications and assuming Hughes
Communications‘ outstanding debt. The transaction is valued at approximately $2 billion.‘" The
Broadband Acquisition Corporation, an indirect, wholly owned subsidiary of EchoStar organized
under the laws of Delaware, will merge with and into Hughes Communications.‘‘ Hughes
Communications will emerge as the surviving corporation and will be an indirect wholly owned
subsidiary of EchoStar.‘" HNS will continue to be a wholly owned subsidiary of Hughes
Communications and the direct parent of HNS Sub. EchoStar will acquire indirect control over
Hughes‘s FCC licenses and other FCC grants."" These include a license to operate SPACEWAY
3 at 94.95° W.L. and a Letter of Intent grant for FSS using the Jupiter 1 space station at the
107.1° W.L. orbital location, 20 earth station licenses and three experimental licenses.

V.      WAIVER REQUEST FOR PENDING APPLICATIONS

        The Applicants request that the Commission exempt all currently pending applications
filed by Hughes and EchoStar from any Commission rule that would require those applications
to be re—filed, including Section 25.158(c) of the Commuission‘s rules, which prohibits the
transfer of a GSO—like satellite applicant‘s place in a processing queue.‘" The Applicants argue
that the currently pending applications were announced well before the present transaction and
that the present transaction serves an independent business purpose and was not entered into for
the purpose of merely acquiring the pending applications.‘"

VI.      EX PARTE STATUS OF THIS PROCEEDING

       The Applicants request that the Commission designate the ex parte status of this
application proceeding as "permit—but—disclose" under the Commission‘s rules."" The Applicants
contend that by so designating this application proceeding, the Commission will facilitate the
development of a complete record and that such ex parte treatment is consistent with
Commission action in similar transactions.‘°

        Pursuant to section 1.1200(a) of the Commission‘s rules,‘" the Commission may adopt
modified or more stringent ex parte procedures in particular proceedings if it finds that the public
interest so requires. We announce that this proceeding will be governed by permit—but—disclose
ex parte procedures that are applicable to non—restricted proceedings under section 1.1206 of the
Commission‘s rules.""

        We direct parties making oral ex parte presentations to the Commission‘s statement
reemphasizing the public‘s responsibility in permit—but—disclose proceedings and are reminded
that memoranda summarizing the presentation must contain the presentation‘s substance and not
merely list the subjects discussed."‘ More than a one— or two—sentence description of the views
and arguments presented is generally required."" Other rules pertaining to oral and written
presentations are set forth in section 1.1206(b) as well." We urge parties to use the Electronic
Comment Filing System (ECFS) to file ex parte submissions."*

         This Application has been found, upon initial review, to be acceptable for filing. The
Commission reserves the right to return any application if, upon further examination, it is
determined to be defective or not in conformance with the Commussion‘s rules or policies. Final

         Interested parties must file petitions to deny or comments no later than April 18, 2011.
Responses or oppositions to comments and petitions must be filed no later than April 28, 2011.
Replies to such pleadings must be filed no later than May 5, 2011. All filings concerning
matters referenced in this Public Notice should refer to DA 11—518, IB Docket No. 11—55, as
well as the specific file numbers of the individual applications or other matters to which the
filings pertain.

       Under the Commission‘s procedures for the submission of filings and other documents,""
submissions in this matter may be filed electronically (¢.e., though ECFS) or by hand delivery to
the Commission‘s Massachusetts Avenue location.
