         Communications Commission is hereby granted to the transaction indicated above. The Commission‘s consent to
         the above is based on the representations made by the applicants that the statements contained in, or made in
         connection with, the application are true and that the undertakings of the parties upon which this transaction is
         authorized will be carried out in good faith. The actual consummation of voluntary transactions shall be
         completed within 60 days from the date hereof, and notice in letter form thereof shall promptly be furnished the
         Commission by the buyer showing the date the acts necessary to effect the transaction were completed. Upon
         furnishing the Commission with such written notice, this transaction will be considered completed for all
         purposes related to the above described station(s).

Consent is effective 5:01 AM GMT, July 31, 2010. Intelsat‘s FCC authorization for operation of
Galaxy 27 at the 129.0° W.L. orbital location is terminated upon this consent becoming effective.
The Federal Communications Commission has exchanged letters with Bundesnetzagentur fiir
Elektrizitat, Gas, Telekommunikation, Post und Eisenbahnen (BNetzA) to ensure a mutual
understanding regarding the operations of the Galaxy 27 satellite. The understandings and factual
basis for these understandings are attached in Annex A, and are material considerations for the
grant of this authority.

             Dear Ms. Gandyra:

            This letter is to confirm the informal understanding of the Bundesnetzagentur fiir
            Elektrizitat, Gas, Telekommunikation, Post und Eisenbahnen (BNetzA) and the Federal
            Communications Commission (FCC) concerning certain issues involved inthe operation
            ofa geostationary space station known as Galaxy 27 by Intelsat North America LLC
            (Intelsat) and Burope*Star Gesellschaft Fiir Satellitenkommunikation mbH
            (Europe*Star).

             Intelsat is authorized by the FCCto operate the Galaxy 27 space station in the C—band
              3700—4200 MHz downlink and 5925—6425 MHz uplink), and Ku—band (11.7 —12.2 GHz
            downlink and 14—14.5 GHz uplink), at the 129.0° W.L. orbital location. Intelsat proposes
            to operate Galaxy 27 at 45.10° E.L., where it would operate under authorization issued by
            BNetzA to Europe*Star. The authorization includes conditions to provide for removal at
            end—of—life of the Galaxy 27 space station to an orbit consistent with TTU
            Recommendation $.1003—1, Environmental Protection of the Geostationary—Satellite
             Orbit. Intelsat plans to keep the Galaxy 27 space station at the 45. 10° E.L. orbital
            locationuntil it is de—orbited at the end of its useful life.

            On March 11, 2010, the FCC granted Intelsat special temporary authority for 100 days,
            commencing on April 1, 2010, to operate Galaxy 27s TT&Cfrequencies to relocate the
            space station to the 45.10° E.L. orbital location, from its currently assigned orbital
            location of 129.0° W.L. On June 2, 2010, the FCCgranted Intelsat special temporary
            authority for a period ofthirty days for operations at the 45.10° E.L. orbital location, and
            this special temporary authority was renewed for an additional thirty days, ending July
            31, 2010 .

             Informal understanding between BNetzA and the FCC on certain technical issues
             concerning the operation of Galaxy 27


It is my understanding that our agencies have concurredon the following technical issues
concerning the operation of Galaxy 27:

     1. Until the effective date of approval by the FCC to change the Notifying
         Administration associated with the Galaxy 27 space station, it will operate subject
         to FCCauthority.

         Upon the effective date of approval by the FCC ofthe change in the Notifying

         Administration of the Galaxy 27 space station, and thereafter, the Galaxy 27 space
         station will operate subject to BNetzA‘s authority. BNetzA will thereafter have
         responsibility for compliance with the ITU Radio Regulations (including the
         requirement for licensing as specified in Article 18.1 of the Radio Regulations,
         and any applicable agreement—seeking procedures) in connection with operation
         ofthe Galaxy 27 space station.

The informal understandings set forth in this letter concerning operation of the Calaxy 27
space station do not constitute a concurrence by the United States Administration with
any filings made to the ITU Radiocommunication Bureau in connection with the
operations of the Galaxy 27 space station.

Finally, all notices, inquiries, and correspondence from BNetzA concerning these matters
should be directed to the Chief, Satellite Division, International Bureau (phone number
202.418.—0719 (e—mail: Robert.Nelson@fee.gov, with a copy to
Karl Kensinger@fec.gov), on the part of the FCC. The FCC will forward all notices,
inquiries, and correspondence concerning these matters to the Ms. Christina Gandyra,

      Dear Mr. Nelson,

     We are in receipt of your letter dated 23" July 2010, in which you set forth the informal
     understanding of the Bundesnetzagentur fur Elektrizitat, Gas, Telekommunikation, Post und
     Eisenbahnen ("BNetzA") and the Federal Communications Commission ("FCC") with respect to
     the operation of the geostationary satellite known as GALAXY 27 by Intelsat North America LLC
     ("Intelsat") and Europe*Star Gesellschaft fur Satellitenkommunikation mbH (*Europe*Star").

     BNetzA hereby informs you that it agrees with the informal understanding as described in your
     draft letter of July 2010.

     Specifically, BNetzA agrees that:

           1.       Until the effective date of approval by the FCC to change the Notifying Administration
                    associated with the Galaxy 27 space station, it will operate subject to FCC authority.

           2.    Upon the effective date of approval by the FCC of the change in the Notifying
                 Administration of the Galaxy 27 space station, and thereafter, the Galaxy 27 space
                 station will operate subject to BNetzA‘s authority. BNetzA will thereafter have
                 responsibility for compliance with the ITU Radio Regulations (including the requirement
                 for licensing as specified in Article 18.1 of the Radio Regulations, and any applicable
                 agreement—seeking procedures) in connection with operation of the Galaxy 27 space
                 station.

     With respect to notices, inquiries and correspondence between our two agencies with regard to
     this matter, we take note of the contact information for the FCC and confirm the corresponding
