Dear Ms. Dortch: Intelsat Holdings, Ltd., by its counsel and pursuant to Section 25.1 19(f) of the rules of the Federal Communications Commission ("Commission")', hereby notifies the Commission that on July 3, 2006 Intelsat (Bermuda), Ltd. assigned all of its assets to a newly created, wholly-owned subsidiary, Intelsat Intermediate Holding Company, Ltd., and the pro forma transfer of control of the earth and space station licenses listed in the above-referenced applications to Intelsat Intermediate Holding Company, Ltd. was completed.* Please do not hesitate to contact the undersigned with any questions. See Letter from Jennifer D. Hindin, Counsel to Intelsat, to Marlene H. Dortch, Secretary, FCC, Request for Extension of Pro Forma Transfer of Control Deadline (dated June 5, 2006). Intelsat will separately file the necessary notices for the pro forma transfer of control of the experimental licenses, wireless licenses, international Section 2 14 authorizations and Permitted List satellite affected by this transaction.
