The request of XM Radio Inc. (XM Radio) for special temporary authority (STA), IBFS File No. SAT-
STA-2006050 1-00051, IS GRANTED for a period of 180 days.' Accordingly, XM Radio is authorized to
(1) operate the communications and Telemetry, Tracking, and Command (TT&C) payloads of the XM-1
satellite (Call Sign S2118) during and after the drift from 115" W.L. orbital location to 115.1" W.L.
orbital location, (2) cease transmission on XM-1 except for TT&C payloads after the traffic is
successfully transferred to the XM-4 satellite, and (3) operate TT&C payloads of the XM-1 satellite
during the drift from 1 15.1" W.L. orbital location to 85.2" W.L. orbital location in accordance with the
terms, conditions, and technical specifications set forth in its application, this Attachment and the 'Federal
Communications Commission's (Commission) Rules.

1. XM Radio IS AUTHORIZED to operate XM-1 's communications and TT&C payloads during the
   drift of the satellite from the 115" W.L. orbital location to the 115.1" W.L. orbital location, subject to
   the following conditions:

        a) XM Radio shall coordinate all drift orbit communications and TT&C operations with other
        potentially affected in-orbit operators.

        b) During relocation of the XM-1 satellite, operations via the XM-1 shall be on a non-harmful
        interference basis, i e . , XM Radio shall not cause interference to, and shall not claim protection
        from interference caused to it by, any other lawfully operating satellites.

        c) In the event that any harmful interference is caused as a result of XM Radio's operations during
        the relocation of the XM-1 satellite, XM Radio shall cease operations immediately upon
        notification of such interference and shall inform the Commission in writing immediately of such
        an event.

2. XM Radio IS AUTHORIZED to operate the XM-1 satellite, including its communications payload, at
   the 115.1" W.L. orbital location.

3. XM Radio IS AUTHORIZED to conduct XM-1 's TT&C communications during the drift of the
   satellite from 115.1" W.L. orbital location to the 85.2" W.L. orbital location, subject to the following
   conditions:

        a) XM Radio shall coordinate all drift orbit TT&C operations with other potentially affected in-
        orbit operators.

        b) During relocation of the XM-1 satellite, operations via the XM-1 shall be on a non-harmful
        interference basis, i e . , XM Radio shall not cause interference to, and shall not claim protection
        from interference caused to it by, any other lawfully operating satellites.

        c) In the event that any harmful interference is caused as a result of XM Radio's operations during
        the relocation of the XM-1 satellite, XM Radio shall cease operations immediately upon
        notification of such interference and shall inform the Commission in writing immediately of such
        an event.

response to this public notice.

4. XM Radio shall complete all operations authorized under this grant of special temporary authority
   within 180 days of the commencement of the drift of the XM-1satellite to the 1 15.1O W.L. orbital
   location. XM Radio shall provide written notice of the start of this 180-day time period by sending a
   letter to the Chief, Satellite Division, International Bureau, Federal Communications Commission
   within 10 days of the commencement of drift of the XM-1 satellite to the 115.1” W.L. orbital
   location.

5. This grant is issued pursuant to Section 0.261 of the Commission’s rules on delegated authority, 47
   C.F.R. 0 0.261, and is effective immediately.

6. XM Radio is afforded thirty days from the date of release of this action to decline this special
   temporary authorization as conditioned. Failure to respond within this period will constitute formal
   acceptance of the special temporary authorization as conditioned.
