Re:      Notification of Pro Forma Transfer of Control of Certain Satellites on the Permitted
         List, Calls Signs S2677, S2678 and S2845.

Dear Ms. Dortch:

         Pursuant to 25 C.F.R. § 25.137(g), Star One S.A. (Brazil) (“Star One”) respectfully files

this notification of a pro forma transfer of control of certain satellites on the Permitted Space

Station List (“Permitted List”) with the Federal Communications Commission (“Commission”).

Star One owns three satellites on the Permitted List: Star One C1 (Call Sign S2677)1; Star One

C2 (Call Sign S2678)2; and Star One C3 (Call Sign S2845).3 Star One is undergoing a pro forma

transfer of control that will not change the actual controlling party.

         Specifically, Star One is merging into Claro S.A. (Brazil) (“Claro”). Both Star One and

Claro have the same ultimate owner, América Móvil, S.A.B. de C.V. (Mexico) (“América

Móvil”). The intermediate ownership between América Móvil and Claro is Claro Telecom

Participações S.A (Brazil) (“Claro Telecom”). Claro owned (prior to the merger) and will

continue to own 100% of Star One, but all of Star One’s assets (including its satellite rights and

authorizations) are transferred to Claro. Claro Telecom owns 100% of Claro. América Móvil

owns 100% of Claro Telecom. Accordingly, the ultimate owner of Star One will not change

from this transaction.
