Mr. Ergen’s beneficial ownership includes: (i) 501,185 Class A Shares; (ii) 19,674 Class A Shares held in the Corporation’s 401(k) Plan; (iii) 772,000 Class A Shares subject to employee stock options that are either currently exercisable or may become exercisable within 60 days of July 15, 2016; (iv) 235 Class A Shares held by Mrs. Ergen; (v) 2,114 Class A Shares held in the Corporation’s 401(k) Plan by Mrs. Ergen; (vi) 15,890 Class A Shares held as custodian for Mr. Ergen’s children; (vii) 2,167,705 Class A Shares held by a charitable foundation for which Mr. Ergen is an officer; and (viii) 204,644,588 Class A Shares issuable upon conversion of Mr. Ergen’s Class B Shares. Mr. Ergen has sole voting and dispositive power with respect to 155,538,268 Class B Shares.
