      Dear Mr. Albuquerque:

              Innovation, Science and Economic Development Canada (the
      "Department") has received a request from Telesat Canada (Telesat) to operate
      the Telstar 12 satellite at the 109.2°W orbital position under Canadian authority.
      Telesat wishes to operate Telstar 12 in accordance with the CANSAT—64
      network filed with the International Telecommunication Union (ITU) by the
      Administration of Canada.

              Telstar 12 has most recently been operated at the 1 5°W orbital position,
      under licence by the Federal Communications Commission (FCC) (Call Sign
      $2462). It is our understanding that Telesat has recently been granted special
      temporary authority to drift the satellite from the 1 5°W to the 109.2°W orbital
      position.

              Telesat holds a valid spectrum authorization from the Department for the
      109.2°W orbital position (our File: 3150—1 (674031 CP)), with plans to deploy a
      new satellite by 2021. The Department requests the FCC‘s agreement to allow
      the operation of Telstar 12 under above—noted Canadian authorization. We
      would also like to confirm our informal understanding of the details of this
      arrangement, as outlined in the attachment to this letter.

Attachment

         Mutual Informal Understanding of the Administration of Canada and the
      Administration of the United States for the Operation of the Telstar 12 Satellite
                                at the 109.2°W Orbital Position

Telstar 12 operations would be authorized by the Federal Communications Commission (FCC)
during the drift from 15°W to 109.2°W (under FCC special temporary authority) and at 15°W
(under modified FCC license).

Telstar 12 would be subject to Canadian authority (licence from Innovation, Science and
Economic Development (ISED) held by Telesat Canada) while at 109.2 +0.1°W (see ITU RR
22.8). Such authority will allow ISED to require Telesat Canada to modify or cease operations if
deemed necessary.

While Telstar 12 is at 109.2+0.1° W, the Canadian administration would have responsibility for
compliance with the ITU Radio Regulations, and in particular the coordination and notification
procedures.

While at 109.2°W, technical activities for control and monitoring of Telstar12 will be performed
by Telesat Canada from its Ottawa operations center. Radio frequency links for telemetry,
telecommand and control functions would be through an earth station in Mount Jackson, VA
USA, licensed to a subsidiary of Telesat Canada.

Any operation of T12, other than at 109.2 +0.1°W, would be subject solely to FCC authorization.
That is, if Telstar 12 is relocated, de—orbited, or otherwise does not remain at 109.2+0.1°W, it
would do so solely under FCC license or subject to FCC authority.

The FCC will retain the right in the event of extraordinary circumstances to direct Telesat to
cease or modify Telstar 12 operations, following communication with ISED.

ISED would provide the FCC with written notice of any planned termination or expiration of the
ISED licence, or of the operations of Telstar 12 at 109.2 +0.1°W under ISED authorization.

ISED would include as a condition of licence that Telesat Canada will implement space debris
mitigation measures, including maintaining (barring catastrophic failure of satellite components
precluding such maintenance) the capability to de—orbit Telstar 12 in accordance with ITU
Recommendation ITU—R $.1003—2.

Pursuant to the 1976 U.N. Convention on Registration of Objects Launched into Outer Space,
the United States has registered the Telstar 12 satellite. See ST/SG/SER.E/369 (29 March 2000).

The mutual understanding would not constitute concurrence by the FCC or the USA
Administration with any Canadian networks filed with the ITU—BR for the 109.2°W orbital
location.

With respect to Paragraph 3.2 of the Minutes of the 13th Plenary Meeting of WRC—12 (as set out
in ITU Circular Letter CR/333), the FCC will not object to ISED maintaining in use the
frequency assignments of the CANBSS—64 filing in relevant frequency bands, based upon the
capability of Telstar 12.                                  |
