       Dear Ms. Dortch:

               TerreStar Networks Inc. (“TerreStar”) hereby enters into the record of the above-
       captioned proceeding the attached letter authorization recently issued by Industry Canada. The ’
       letter approves TerreStar’s request to extend its implementation milestone to August 30, 2009.
       L4s indicated in the letter, Industry Canada has concluded that it is in the public interest to grant
       TerreStar’s milestone extension request.

Dear Mr Nichols:

          I refer to your letter of July 14,2008, in which TerreStar Networks
(Canada) Inc. (TeneStar Canada) requests a further extension to its milestone
requirement to place its satellite into its assigned orbital position from the
previously approved extension date of November 30, 2008.

           In considering this request, we have taken into account that progress is
being made towards the iniplementation of the approved mobile satellite service
and that the circumstances giving rise to the manufacturing delay and final
impfernentation axe not within TcrrcStar Canada's control. We also note that the
approval was issued on a first-come, first served basis and that the proposed
delay would not affect Canadian access to the spectrum resources through the
international satellite coordination proccss. Given the above, we have concluded
that it would be in the public interest to grant the request, and Industry Canada
hereby approves the extension of thc implenientation milestone to
August 30,2009.
