The application has not yet been placed on Public Notice. With this letter, MSV hereby (i) replaces Table 1—6 on page 19 of the Narrative with the attached table; and (i1) updates the ownership information and list of officers and directors filed in response to Questions 34 and 40 of the Form 312 to reflect minor changes occurring since the application was filed. Response to Questions 34 and 40 Mobile Satellite Ventures Subsidiary LLC ("MSV") is a U.S. limited liability company that is a wholly owned subsidiary of Mobile Satellite Ventures LP ("MSV LP"), a U.S. limited partnership. The general partner of MSV LP is Mobile Satellite Ventures GP Inc. ("MSV GP Inc."). Equity ownership of MSV LP is as follows: SkyTerra Communications, Inc. 95.1% 19 West 44°" Street Suite 507 New York, NY 10036 (U.S. corporation) Motient Venture Holdings, Inc. 4.5% 300 Knightsbridge Parkway Lincolnshire, IL 60609 (U.S. corporation) Other ~0.4% Ownership and voting rights in MSV GP Inc. are as follows: SkyTerra Communications, Inc. 100% 19 West 44"" Street Suite 507 New York, NY 10036 (U.S. corporation) With this application, MSV is requesting to operate MSV—1 as a non—common—carrier. Accordingly, upon grant of this application, the foreign ownership limitations of Section 310(b)(4) of the Communications Act will not apply to the license for MSV—1. MSV also notes that the Commussion recently reviewed and approved of MSV s foreign ownership.
