The request of XM Radio Inc. (XM Radio) for license modification, IBFS File No. SAT-MOD-
20060501 -00052, IS GRANTED.' Accordingly, XM Radio is authorized to operate its telemetry payload
of the XM-1 satellite (Call Sign: S2118) at the 85.2" W.L. orbital location and to use the XM-1 satellite as
an in-orbit spare for the XM-3 satellite (currently at 85.1' W.L. orbital location) in accordance with the
terms, conditions, and technical specifications set forth in its application, this Attachment and the Federal
Communications Commission's (Commission) rules.

    XM Radio IS AUTHORIZED to operate the XM-1 satellite at the 85.2" W.L. orbital location as non-
    transmitting (except for telemetry transmissions) in-orbit spare for the XM-3 satellite for the duration
    of the remaining license term of the XM-1 satellite, subsequent to the successful launch of XM-4 to
    the 115" W.L. orbital location.

    XM Radio's request for waiver of section 25.1 14(d)(3) of the Commission's rules requiring the
    provision of antenna gain contours for modification applications IS GRANTED.* Section
    25.1 17(d)(l) of the Commission's rules requires applications for modifications of space station
    authorizations to provide the information specified by section 25.1 14 of the Commission's rules, but
    only for those items of information that change as a result of the modification r e q ~ e s t .XM

    states that the S-band and X-band satellite antenna gain contours and coverage area from the 85.2"
    W.L. orbital location remain the same as those specified in XM's January 2000 modification
    application4to operate XM-1 at the nominal 85" W.L. orbital 10cation.~Because the XM-1 satellite
    will only operate telemetry transmissions at 85.2" W.L., and because any changes to the antenna gain
    contours and coverage areas resulting from a 0.2" change in orbital location would be de minimis, the
    antenna gain contours previously provided by XM are sufficient to determine whether the modified
    system meets the Commission's technical requirements. As a result, waiver of section 25.1 14(d)(3) is
    appropriate in this instance.

    This grant is issued pursuant to Section 0.261 of the Commission's rules on delegated authority, 47
    C.F.R. 9 0.261, and is effective immediately.

    XM Radio is afforded thirty days from the date of release of this action to decline this modification
    authorization as conditioned. Failure to respond within this period will constitute formal acceptance
    of the modification authorization as conditioned.
