Dear Ms. Dortch:

       On May 2 1,2004, the undersigned counsel for TerreStar Networks, Inc., had a brief
telephone conversation with Sam Feder, Esq., legal advisor to Commissioner Kevin Martin,
concerning the above matter. The issue discussed was the application for consent to assign the
2 GHz authorization from TMI to TerreStar, and it is covered in the various pleadings submitted
by TerreStar and TMI in this proceeding.
