                                Compliance with Terms and Conditions of Authorization, File No. SAT—
                                MOD—19981211—00099

             Dear Ms. Salas:

                     Pursuant to Section 25.133 of the Federal Communications Commission‘s
             ("Commission‘s") Rules, Sirius Satellite Radio Inc. ("Situs") certifies that it has completed
             construction and begun operations of its S—band transmit/receive earth station with call sign
             E990291. The Commission granted Sirius a license to operate this earth station on March 20,
             2001. The facility has been completed as authorized, including the gain patterns specified in
             Section 25.209, and each antenna facility has been tested. Sirius will continue operation of this
             earth station during its license period, and if it does not continue operation it will submit the
             license for cancellation.

                         Furthermore, pursuant to Section 25.121 of the Commission‘s Rules and the terms of its
             license, Sirius also certifies that its three space stations have been successfully placed into orbit
             and that the operations of the satellites fully conform to the terms and conditions of Sirius‘s
             space station system authorization {as initially issued on October 10, 1997 and modified on
             March 9, 2001).
