On January 14,2004, the Commission released a Memorandum Opinion and Order’ in the above-referenced proceeding in which it granted consent to the proposed transfer of control over various Commission licenses and authorizations, including direct broadcast satellite and fixed satellite space station, earth station, and terrestrial wireless authorizations held by Hughes Electronics Corporation (Hughes) and its wholly- or majority-owned subsidiaries, to The News Corporation Limited (News Corp.) (collectively, Applicants).* The January 2004 Order was released following the Commission’s announcement by public notice on December 19,2003, that the Commission had adopted an Order finding that the license transfers were in the public interest, approving the Transfer Application subject to conditions, and directing that the grant of approval be effective upon a d ~ p t i o n .The ~ January 2004 Order more fully explains the Commission’s reasoning for its decision and the conditions of News Corp’s. a~thorization.~ ’General Motors Corporation, Hughes Electronics Corporation, and The News Corporation Limited, Memorandum Opinion and Order, ME3 Docket No. 03-124, 19 FCC Rcd 473 (2004) (January2004 Order). 2 The Applicants filed a transfer of control application on May 2,2003. Neither the December 2003 Public Notice nor the January 2004 Order, however, specifically addressed the Applicants’ request in the Transfer Application that, in connection with the approval of the transfer of control of licenses and authorizations from Hughes to News Corp., the Commission (1) waive its “cut-off’ rules for pending applications held by Hughes or its subsidiaries to the extent that such applications were the subject of a Commission cut-off date;’ (2) include authority for News Corp. to acquire applications filed by Hughes or its subsidiaries prior to or during the period in which the Transfer Application was under consideration by the Commission and that remain pending at the time of consummation of the proposed transaction (“interim period”); and (3) include authority for News Corp. to acquire authorizations issued to Hughes or its subsidiaries during the interim period.6 Requests such as these, when made in the context of a larger transaction, generally are included as part of the Commission’s review of the entire transaction, and disposition of such requests is generally included as part of the action taken on the entire transaction. In the instant case, the Commission’s review, analysis and final determination of the proposed transaction included consideration of the requests noted above; however, the ruling on the Applicant’s waiver request and the disposition of pending applications and authorizations granted during the interim period, were inadvertently omitted from the Commission’s released decision. Therefore, as discussed below, this order supplements the January 2004 Order and addresses the Applicant’s requested waiver and grants approval to transfer control of the applications and authorizations noted above.’ 3. Waiver of Cut-0ffRule.s: In its Transfer Application, filed on May 2, 2003, the Applicants requested an exemption from cut-off dates with respect to pending applications filed by Hughes and its subsidiaries that were subject to cut-off dates, in order to preserve the filing status of these applications.8 At the time the Transfer Application was filed, this request was necessary under then-existing Commission rules, which treated transfer of control applications as major amendments to pending applications.’ Transfer Application at 68. 6 Transfer Application at 68-70, and Attachment H. The Applicants also requested authority for News Corp. to acquire all construction permits held by Hughes or its subsidiaries that mature into licenses during the interim period. Because neither Hughes nor PanAmSat held any such permits during the pendency of this proceeding, this request is moot. ’ We note that on February 13,2004, petitions for reconsideration of the Janualy 2004 Order were filed by Pegasus Development Corporation and the National Hispanic Media Coalition. Hughes and News Corp. filed a consolidated opposition to the petitions for reconsideration on March 19,2004. Because the transfer of control of authorizations and applications granted in this SupplementalOrder are based on the Commission’s review, analysis and findings in the January 2004 Order, the grant in this SupplementalOrder is subject to any decision the Commission may reach on reconsideration of the January 2004 Order. 8 Transfer Application at 68 and Attachment H. 9 Under the rules in effect on May 2, 2003, Section 25.1 16(c) generally provided that if a pending application were amended by a “major amendment” after a cut-off date, the application would be considered to be a newly filed application. 47 C.F.R. An amendment to an application was considered “major” if it involved a “substantial change in beneficial ownership or control.” 47 C.F.R. Q 25.116(b)(3)(0ct. 1, 2002). 2

On May 19, 2003, the Commission released the First Space Station Reform Order,” in which it revised the rules so that transfer of control applications are no longer considered major amendments to applications.” In addition, the Commission determined that the new rules set forth in the First Space Station Reform Order could be applied to pending applications “if doing so does not impair the rights an applicant possessed when it filed its application, increase an applicant’s liability for past conduct, or impose new duties on applicants with respect to transactions already completed.”” Applying the new procedures to the pending satellite applications in this case does not have any of these results. Therefore, we will apply the new.procedures to the transfer of control of Hughes’ pending satellite applications, which were filed in processing rounds subject to cut-off dates, and find that these applications may be transferred to News Corp. without a change in filing status.I3 Hughes’ request for a waiver of the cut-off rules is therefore moot. 5. Applications Acted on During Interim Period and Applications That Remain Pending at Consummation: The Applicants also request that the grant of the transfer of control of licenses to News Corp. include ( 1 ) authority to transfer any authorizations issued to Hughes or its subsidiaries during consideration of the Transfer Application and the period required for consummation of the transfer following approval; and (2) authority to transfer any applications filed by Hughes or its subsidiaries that are pending at the time of consummation. No commenter opposed this request. 6. The Commission’s review of the proposed transaction involved a comprehensive analysis of the entire transaction proposed in the Transfer Application. This included the Applicants’ request for authority to transfer to News Corp. authorizations granted to Hughes during the interim period as well as the Applicants’ request for authority to transfer applications filed by Hughes that remain pending at the time of consummation following appr0va1.I~ Accordingly, we find that the Applicants’ request for authority to transfer control of the above mentioned filings should be deemed to be covered by the January 2004 Order, in which the Commission found that, subject to certain conditions, the transfer of lo See Amendment of the Commission ’s Space Station Licensing Rules and Policies, First Report and Order and Further Notice of Proposed Rulemaking, IB Docket No. 02-34, 18 FCC Rcd 10760 (2003) (First Space Station Reform Order). In this case, no evidence was presented to suggest that the transaction between News Corp. and Hughes was undertaken for purposes other than for legitimate and independent business reasons or for the sole purpose of News Corp. acquiring the pending applications. In addition, as provided for in the Commission’s January 2004 Order, we found that the proposed transaction will serve the public interest. Accordingly, granting the Applicants’ request for waiver would have been consistent with previous decisions where we have considered and granted requests for an exemption to applications subject to cut-off dates due to a change in beneficial ownership. See, e.g., Loral Space & Communications Ltd. and Orion Network Systems, Inc. et. al, Application for Transfer of Control of Various Space Station, Earth Stations, and Section 214 Authorizations, Order and Authorization, 13 FCC Rcd 4592,4599, para. 17 (Int’l Bur., 1998). l4 APPENDIX A contains a list of applications that remain pending before the Commission and authorizations granted during the interim period and the period up to the release of this Supplemental Order. Consistent with Section 1.65 of the Commission’s rules, Applicants should amend any current pending applications, as well as applications that were acted on between the filing date of the Transfer Application and the consummation date, to reflect the transaction as approved by the Commission in its Janualy 2004 Order.” ORDERING CLAUSES 8. IT IS HEREBY ORDERED pursuant to sections 4(i) and 46), 214(a), 214(c), 309, and 310(d) of the Communications Act of 1934, as amended, 47 U.S.C. $9 154(i), 1546), 214(a), 214(c), 309, 3 10(d), that the Applicants’ request for an exemption under Section 25.1 16(c)(2) of the Commission rules, 47 C.F.R. $ 25.1 16(c)(2), for pending applications filed subject to a cut-off date, is MOOT. 9. IT IS FURTHER ORDERED, that the grant of the transfer of control in the January 2004 Order shall include authority for the transfer of control to News Corp. of (a) any authorization issued to Hughes or its subsidiaries during the Commission’s consideration of the Transfer Application and the period required for consummation of the transaction following approval and issuance of this order; (b) any application filed Hughes or its subsidiaries pending at the time of consummation of the transaction following approval. 10. This Supplemental Order and Authorization is issued pursuant to Sections 0.261 and’0.331 of the Commission’s rules on delegated authority, 47 C.F.R. $9 0.261, 0.331, and is effective upon release.
