              The Commission has found,         upon initial review,           that the following application
              filed by Satellite CD Radio, Inc. (CD Radio) for authority to construct, launch
              and operate a digital audio radio service satellite system is acceptable for
              filing.    The Commission     reserves the right to return this application,
              however, if, upon further review, it is determined that it is defective or not
              in conformance with the Commission‘s rules, regulations and policies.

              Application for authority to            construct,      launch and operate a digital                 audio
              radio service consisting of the following:  two geostationary satellites,                                 an
              undetermined number of complementary urban—area terrestrial repeaters to                                  be
              implemented after 5 years, an earth station for feeder links and for telemetry,
              telecommand       and   control   and   numerous      individual,         fixed     or   mobile      radio
              receivers.        The system is intended to provide high rate digital information to
              subscribers including applications such as compact disc quality audio
              programming throughout the U.S. CD Radio proposes to uplink programming from
              its feeder link station using the 7035—7055 MHz frequency bands. The signals
              will be downlinked to the individual receivers using the 2310—2360 MHz
              frequency bands. CD Radio proposes to offer its service on a non—common
              carrier, non—broadcasting basis, providing subscription or pay—per—listen
              services.

              Comments     or    petitions   regarding     CD   Ra&io’s     application may be            filed    on   or
              before NHovember 13, 1992.  Replies and oppositions may be filed on or before
              December 1, 1992, Responses may be filed on or before December 15, 1992.


Interested   parties wishing   to file applications   for U.S.   domestic   digital
audio radio service satellite systems to operate in the downlink frequency band
of 2310—2360 MHz to be considered concurrently with CD Radio‘s may do so on or
before December 15, 1992.   Each applicant must file a concrete, comprehensive
proposal for its proposed system, describing in detail all pertinent technical
and operational aspects of the system, the proposed services and its ability to
proceed expeditiously with construction and launch, together with the
appropriate application fees and the Fee Form 155.    In particular, applicants
shall provide all information specified in Appendix B of Space Station Filing
Procedures, 48 Fed. Reg. 40256 (September 6, 1983) as appropriate.      (See also
47 CFR 25.114)  Applications that fail to comport with these requirements as of
the cut—off date will be dismissed as unacceptable for filing.       Applicants
filing by the cut—off date will be afforded an opportunity to amend their
applications, if necessary, to conform with any requirements and policies that
may be adopted for digital audio radio service satellite systenms.
