FCC Form 603 Exhibit 1 FCC Form 312 Exhibit F Description of Transaction and Public Interest Statement Leidos Innovations Corporation and Leidos, Inc. (collectively, the “Parties”) hereby request Commission consent to a pro forma transaction to be completed effective 11:59 pm, December 28, 2018, pursuant to which Leidos Innovations Corporation (the licensee of the Stations listed herein) will merge with and into Leidos, Inc. with Leidos, Inc. being the surviving entity and the post-merger licensee of the Stations once the merger is completed. The subject applications are being filed as a pro forma assignment in order to effectuate the ultimate change in licensee that will occur upon completion of this internal transaction. The proposed transaction is pro forma in nature, and, taken together with all previous pro forma transactions, will not result in a change of ultimate control of the licensed facilities. As both Parties are direct wholly-owned subsidiaries of Leidos Holdings, Inc., the transaction does not constitute a "substantial change in ownership or control" of the subject stations pursuant to Section 309(c)(2)(B) of the Communications Act of 1934, as amended, 47 U.S.C. §309(c)(2)(B). As demonstrated in the applications, Leidos, Inc. has the qualifications necessary to acquire the Stations and the operations authorized thereunder. Grant of the applications will permit the company to simplify its legal structure and improve operational efficiency. For the foregoing reasons, the Parties respectfully request Commission consent to the proposed transaction.
