(‘SkyTerm Holdings®) and: SkyTera: Communications,. Inc. (‘SkyTerra") (the "Applicants") hereby file this eter pursuant to Section 1.65 ofthe rules ofthe Rederal Communications Commission (‘FCCor "Commission®) to update the above—referenced application (the *Applieation®) o assign the space sation icense for a Ka—band satelte (CallSign $2663) from SkyTerma to SkyTerrm Holdings, which is currently a wholly—owned subsidiary of SkyTera.. As stated in the Application, the Apollo Stockholders (es that term is defined in the Application) presently exercise positive control of SkyTerra Communications and, upon consummation of the proposed transection, would exercise positive control oSkTerza Holdings through their combined ownership ofatleast 63.2% of the equity and voting interests in SkyTerra Holdings. This letter is being filed to update the Application to reflect tht, upon consummation of the contemplated pro forma assignment for which Commission approval is sought,other than the Apollo Stockholders, no entity orindividual would hold an equity or voting interestin SkyTerra Holdings greate than 10%.
