Dear Mr. Harris:

         Pursuant to discussions between Hughes Communications Galaxy, Inc. ("HCG") and .
PanAmSat Licensee Corporation ("PanAmSat") under your auspices, HCG hereby:;mthd;rawsits
opposition to a grant of the pending applications filed by PanAmSat Licensee Corporatlon and
listed in Attachment A hereto ("PanAmSat" and "PanAmSat Applications"), on the express
understanding that, on even date herewith, PanAmSat withdraws its opposition to t{§HCG 1895
applications listed in Attachment B hereto. In accordance with the above discussions, HCG further
requests that the Commission condition grant of the HCG applications upon the outce
pending rulemaking proceeding regarding the regulatory policies governing.domestie     fixe   Livisicn
satellites and separate international satellite systems (IB Docket No. 95—41) (the ’Rulemakmg4. 3au

        Additionally, HCG represents to the Commission that it will not take any action that would
materially and adversely affect the issuance of grants of the PanAmSat Applications, including
minor amendments to such applications and requests for waiver of the construction permit
requirement specified in Section 319(d) of the Communications Act. HCG also represents that it
will not take any action to induce any subsidiary, affiliate, or third party to take any action
forbidden to HCG as described in the preceding sentence. Notwithstanding the foregoing, these
representations shall not preclude HCG from taking any position or making any argument in the
Rulemaking regarding PanAmSat or issues raised by the PanAmSat Applications.

      Accordingly, HCG hereby requests that its petitions and other filings regarding the
PanAmSat Applications be dismissed with prejudice and the PanAmSat Applications be granted.

       HCG appreciates your and the Bureau‘s participation in the above process.
