                              Certification of Milestone Compliance

Dear Ms. Dortch:

              This letter serves to certify that Celsat America, Inc. ("Celsat") has met the
second milestons set forth in its 2 GHz Mobile Satellite Service ("MSS") license, as
modified by Celsat‘s Ka—band feeder link license.‘

               The FCC granted Celsat a 2 GHz MSS license on July 17, 2001."
Subsequently, the FCC granted Celsat a Ka—band license for feeder links for Celsat‘s 2
GHz MSS system on August 3, 2001." The Ka—band License modified the milestones as
set forth in the 2 GHz MSS License. The second milestone for the Celsat satellite system
is July 17, 2003, by which time Celsat must have completed Critical Design Review
(CDR) for its satellite system. In its 2000 decision announcing service rules for 2 GHz
MSS licensees, the Commission indicated that "[sJystem proponents certifying
completion of [the CDR] milestone must support their certification with a declaration by
the satellite manufacturing company stating the date on which CDR was completed."*

The attached letter from Celgat‘s manufacturing company, Loral, certifies that CDR was
completed on June 20, 2003. Accordingly, Celsat has met its second construction
milestone as required by the 2 GHz MSS License and the Ka—band License.

                Pursuant to our Satellite manufacturing contract dated July 15, 2002,
Section 2.2—A Loral is submitting this formal declaration of the successful and timely
completion/ approval of the critical design review (CDR) of Celsat‘s proposed 2 GHz
mobile satellite system ahead of its contractually required date of 10 July 2003. By this
letter, SS/L hereby certifies that the CDR on the Celsat satellite was completed on June
20, 2003.

            In accordance with Section 1.16 of the rules of the Federal
Communications Commission, 47 C.E.R. § 1.16, the undersigned, acting on behalf of
Loral, hereby declares under penalty of perjury that the foregoing is true and correct.
