Van Buren Telephone Company, Inc.
Pursuant to an Agreement and Plan of Merger, Citizens Mutual Telephone Cooperative ("CM Tech") will acquire 100 percent of the issued and outstanding equity securities of Van Buren Telephone Company, Inc. ("VBT") through a reverse triangular merger. At the effective time of the merger, Citizens HOCO, Inc., a wholly-owned subsidiary of CM Tech formed solely for purposes of the transaction, will merge with and into VBT. The separate corporate existence of Citizens HOCO, Inc. will cease, and VBT will continue as the surviving corporation and a wholly-owned subsidiary of CM Tech.
