Each owned a fifty percent share of Assignor.

As of the Closing, World Communications Group Services, LTD acquired 100% interest in Voipx International, Inc. As shown above, Mr. Goodstein and Mr. Venturino together own approximately 60% of World Communications Group Services, LTD. Mr. Fisher owns 28.2% of World Communications Group Services, LTD, but is not responsible for the day-to-day management or operations of either World Communications Group Services, LTD or Voipx International. Such responsibilities remain with Mr. Goodstein and Mr. Venturino. A 6% interest in Assignee is held my several former noteholders who converted their notes into equity shares. Mr. Goodstein and Mr. Venturino also represent two out of the three Board Members of World Communications Group Services, LTD and are the CEO and COO, respectively. In addition, Mr. Goodstein and Mr. Venturino both retained their original titles and responsibilities in Voipx International. Thus, the transfer of control is pro forma in nature and will have no substantive impact on the operations and management of Voipx International.
