Dortch Secretary Federal Communications Commission 445 12th St. SW, Room TW-B204 Washington, DC 20554 Re: Amendment to Joint International and Domestic Section 214 Application ITC-T/C-20160519-00156, WC Docket No. 16-171 Dear Ms. Dortch: GoDaddy Operating Company, LLC (“GoDaddy Operating”) and CallCatchers Inc. d/b/a FreedomVoice (“FreedomVoice”), through their undersigned counsel, amend the above- referenced application to update the description of the transaction associated with GoDaddy Operating’s acquisition of FreedomVoice. As described in the application, the transaction will result in the merger of FreedomVoice with San Fernando Merger Sub Inc., a wholly-owned subsidiary of GoDaddy Operating, with FreedomVoice being the surviving entity. FreedomVoice will become a direct, wholly-owned subsidiary of Media Temple Inc., which is in turn a direct, wholly-owned subsidiary of GoDaddy Operating. The parties also anticipate upon or after closing that the vast majority of FreedomVoice’s operations and assets – including its international Section 214 authorization and customer accounts and contracts – may be assigned from FreedomVoice to GoDaddy.com LLC (“GD LLC”) through a pro forma intracompany transfer. GD LLC, a Delaware limited liability company, is a direct, wholly-owned subsidiary of GoDaddy Operating. The Commission will be notified of the pro forma assignment of FreedomVoice’s international Section 214 authorization consistent with Section 63.24(f) of the Commission’s rules. 1 The parties also will comply with any applicable customer notification requirements. 2 1 47 C.F.R. § 63.24(f). 2 Id. § 62.1120(e).
