International Section 214 Pro Forma Transfer of Control Notification ATTACHMENT 1 INTRODUCTION AND SUMMARY OF THE TRANSACTION This notification notifies the Federal Communications Commission (“FCC”) of the pro forma transfer of control of Airbus DS SatCom Government, Inc. (“Licensee”) that occurred during a recent internal corporate restructuring. On December 21, 2015, the Licensee’s immediate parent company, Airbus DS Systems Holdings, Inc., was converted from a corporation to a limited liability company. The Licensee’s immediate parent company is now known as Airbus DS Systems Holdings, LLC. Before and after the transaction, the Licensee continued to be indirectly controlled by Airbus Group SE. A simplified ownership chart is attached as Exhibit A. The transaction does not change the Licensee’s foreign ownership as approved by the FCC. 1 The transaction only involved the non-substantial conversion of the Licensee’s immediate parent company from a corporation to a limited liability company. 2 Thus, the FCC is not required to revisit the Licensee’s foreign ownership because there was no substantial change in the Licensee’s ownership.
